Last updated: January 2026. These terms govern all engagements between Monolith UX LLC and its clients.
By engaging Monolith UX LLC ("Monolith UX," "we," "our," or "us") for any service, you ("Client") agree to be bound by these Terms of Service. These terms apply to all engagements, whether initiated by signed proposal, statement of work, verbal agreement, or payment.
If you do not agree to these terms, you may not engage our services. We reserve the right to update these terms at any time; continued engagement constitutes acceptance of any revised terms.
Monolith UX provides strategy, design, development, and marketing services as defined in individual project scopes of work (SOW). Each engagement is governed by its own SOW, which details deliverables, timelines, and fees specific to that project.

Any services not explicitly listed in the signed SOW are considered out of scope and subject to separate pricing.
All fees are as stated in the project scope of work or proposal agreed upon prior to the commencement of work. The following payment terms apply to all engagements:
All prices are in US dollars unless explicitly stated otherwise. Client is responsible for any applicable taxes.
Upon receipt of full payment, the Client receives ownership of the final deliverables as defined in the SOW. Until payment is received in full, all work product remains the property of Monolith UX.

Unless a separate Non-Disclosure Agreement (NDA) has been executed, Monolith UX reserves the right to display completed work in its portfolio, case studies, and marketing materials. If confidentiality is required, an NDA must be signed prior to project commencement.
The Client agrees to fulfill the following responsibilities to ensure the engagement proceeds on schedule:
Delays caused by the Client — including late feedback, missing materials, or delayed approvals — may affect project timelines and may result in rescheduling or additional fees. Monolith UX is not responsible for missed deadlines resulting from Client-side delays.
Both parties agree to hold in confidence any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial information, customer data, technical specifications, and unreleased product information.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or court order.
Monolith UX provides services on an "as-is" basis and makes no warranties, express or implied, beyond those explicitly stated in the project SOW.
Monolith UX shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services provided, even if advised of the possibility of such damages. In no event shall Monolith UX's total liability to the Client exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
Either party may terminate an engagement with 14 days written notice. In the event of termination:
Monolith UX reserves the right to terminate immediately for cause, including non-payment, violation of these terms, or conduct that creates a hostile working environment.
These Terms of Service and any disputes arising out of or related to Monolith UX engagements shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
Any disputes that cannot be resolved informally shall be submitted to binding arbitration in Washtenaw County, Michigan, in accordance with the rules of the American Arbitration Association.
